<p>The U.S Commodities Futures Trading Commission (CFTC) and the U.S. Securities and Exchange Commission (SEC) have long operated as two rival entities competing for the same digital asset. They have both claimed jurisdiction over cryptocurrencies, and without consulting with one another regarding jurisdiction, issued separate opinions that caused confusion for those in the digital asset space trying to determine which regulator they were subject to. The days of uneasiness are over.</p><p><br></p><p>CFTC and SEC have entered into a<a href="https://www.cryptotimes.io/2026/03/12/u-s-regulators-end-crypto-turf-war-as-sec-cftc-sign-landmark-mou/" rel="noopener noreferrer" target="_blank"> </a>Memorandum of Understanding ("MOU") to establish a framework for cooperative regulation of digital assets and related financial markets. The MOU does NOT establish regulatory authority by the two agencies, but rather promotes uniformity in the regulation of digital assets and resolves fragmentation that has existed within the digital asset space for over ten years. The signing of this MOU is one of the most significant developments in the regulation of digital assets in the calendar year 2023.</p><h2>What the MOU Actually Says</h2><p>The agreement mainly promotes joint agency cooperation and coordination. For instance, the regulators will communicate with each other on a leadership level through weekly conversations, find out about their overlapping jurisdictions, market monitoring, data sharing, etc. As the agreement is not a merger of the SEC and CFTC and both are independent entities with distinct statutory jurisdictions, the form of collaboration is changing.</p><p><br></p><p>As part of the implementation of what both agencies call their "minimum effective dose" regulatory policy, the agencies will only regulate enough to protect investors and markets and not create so many roadblocks to innovation that would otherwise make U.S. markets as competitive as possible globally. The agencies made a deliberate statement by introducing the phrase "minimum effective dose" because they are shifting from an enforcement-first strategy to a<a href="https://www.alvarezandmarsal.com/thought-leadership/cftc-and-sec-regulatory-harmonization-delivering-us-financial-leadership-in-crypto-markets-and-beyond" rel="noopener noreferrer" target="_blank"> </a><u><a href="https://www.alvarezandmarsal.com/thought-leadership/cftc-and-sec-regulatory-harmonization-delivering-us-financial-leadership-in-crypto-markets-and-beyond" rel="noopener noreferrer" target="_blank">clarity-first strategy</a></u> for a sector that has been bogged down with uncertainty in the area of regulation for several years.</p><h2>Project Crypto Goes Joint</h2><p>With the<a href="https://www.sec.gov/newsroom/press-releases/2025-68" rel="noopener noreferrer" target="_blank"> </a>appointment of Paul Atkins as chair of the SEC, a renewed interest in the SEC's digital asset initiative Project Crypto led to an MOU between the SEC and the CFTC who are now working collaboratively to develop the Project Crypto initiative. The impetus for this broader collaboration between the SEC and CFTC is the passage of legislation related to digital assets - there was a meeting on this topic at CFTC headquarters in January 2026 and both Chairmen stated that crypto legislation was the trigger for increased collaboration on this issue.</p><p><br></p><p>One of the most significant actions being taken by both of the agencies will be the development of a shared taxonomy for how crypto assets will be classified and the establishment of clear jurisdictional lines between the two agencies as they relate to the regulation of crypto assets. The key principle behind this effort is that a significant portion of the cryptocurrency assets currently being traded on secondary markets are not considered securities. Therefore, while many of these crypto assets were originally issued through an investment contract, they will not be subject to SEC regulation of digital commodities (e.g., Bitcoin) and/or digital collectibles will not fall within the scope of SEC regulation. This is in keeping with the views of both Chairmen and would solve one of the longest-standing disputes between the two agencies if it were formalized.</p><h2>Why This Matters for Crypto Markets</h2><p>This Memorandum of Understanding (MOU) provides regulatory certainty to every entity in the market structure environment. Dealers, intermediaries, pooled investment vehicles, clearinghouses or CCPs (Central counterparties), trading platforms, and data repositories will no longer have to function in a grey area where the conflicting jurisdictional authority of the SEC (Securities Exchange Commission) and CFTC (Commodity Futures Trading Commission) has created compliance challenges. Entities that are registered with both agencies will qualify for<a href="https://www.jenner.com/en/news-insights/client-alerts/sec-cftc-launch-unified-project-crypto" rel="noopener noreferrer" target="_blank"> </a>substituted compliance under the new framework. This means that compliance with either of the two agency's regulatory frameworks can be used to meet the regulatory framework of the other agency. The reduction in regulatory complexity and cost could be significant.</p><p><br></p><p>Also discussed in the MOU is the overall change in the market structure moving to real-time. There is an increasing lack of distinction between securities and derivatives, due in part to the impact of digital, on-chain automated systems; digital trading methods; and other similar technologies. Under these types of market constructs, a single entity could trade token swaps; trade products in the futures market; and buy/sell<a href="https://www.fintechanddigitalassets.com/2025/09/sec-and-cftc-announce-harmonization-initiative-and-new-crypto-developments/" rel="noopener noreferrer" target="_blank"> </a>tokenized real-world assets, all on the same platform. The fragmented regulatory oversight by two separate regulatory agencies (SEC and CFTC) that, to date, have had limited communication, is not a viable oversight solution as evidenced by the statement included in the MOU, which states that "there is a significant blurring of the lines between the traditional agency jurisdiction due to new trading models, the digital infrastructure created to support those models and the increasing amount of trading activity on-chain."</p><h2>The Bigger Picture: U.S. vs. the World</h2><p>Additionally, this action is directly related to global competitiveness. The SEC-CFTC harmonization initiative is one of the most tangible legislative moves toward the Trump administration's declared objective of making the United States the "crypto capital of the world." Due in large part to U.S. enterprises' inability to obtain clear answers, regulatory uncertainty drove cryptocurrency activity abroad, to the EU under<a href="https://www.cozen.com/news-resources/news/2025/sec-crypto-2-0-roadmap-of-sec-developments-on-cryptocurrency-and-digital-assets-in-2025" rel="noopener noreferrer" target="_blank"> </a>MiCA, the UAE, and Singapore. The goal of the MOU is to alter that calculus.</p><p><br></p><p>Nevertheless, the MOU cannot take the place of legislation. The Senate Banking Committee is still holding up the<a href="https://www.banking.senate.gov/newsroom/majority/the-facts-the-clarity-act" rel="noopener noreferrer" target="_blank"> </a>CLARITY Act, which would offer a thorough legal foundation for the construction of the digital asset market. While Congress works toward a final bill, both chairs acknowledged this gap and presented the MOU as a means of providing short-term clarity. How long-lasting this regulatory change is will depend on whether the legislative process picks up speed or continues to stagnate.</p><h2>Bottom Line</h2><p>The SEC-CFTC MOU does not significantly alter regulations. There were no new limitations or exclusions. However, the way U.S. financial regulation handles cryptocurrency has undergone a structural change, and that is significant. One of the main reasons the United States lagged behind in creating a cohesive digital asset market was the<a href="https://www.lw.com/en/us-crypto-policy-tracker/regulatory-developments" rel="noopener noreferrer" target="_blank"> </a>decades-long turf dispute between the two agencies. This agreement is the kind of basis the business has required if it is implemented with actual collaboration and eventually law. Now, execution is the question.</p><p><br></p>
