1. Core Conclusion

Overall judgment: Strategy is the highest-quality listed Bitcoin treasury franchise, but MSTR is fairly to slightly overvalued at roughly 1.10 times estimated net reserve value; the risk-reward skews modestly negative unless Bitcoin compounds above the company’s approximately 10.7% credit hurdle and future common-equity issuance remains accretive.

  1. The franchise is strong, but the common stock is no longer a simple leveraged Bitcoin bargain. Strategy held 845,050 BTC as of August 30, 2026, equal to roughly 4% of Bitcoin’s maximum supply and more than 19 times the holdings of Twenty One Capital, its nearest listed pure-treasury comparator in this report. That scale supports liquidity, financing breadth, brand recognition, and five publicly traded preferred instruments. However, common shareholders sit behind approximately USD 6.75 billion of debt and roughly USD 14.8 billion of preferred claims. The investment implication is that MSTR’s moat is real, but its equity value depends on capital-allocation skill as well as Bitcoin.

  2. The latest capital cycle preserved, rather than materially increased, net reserve value per diluted share. From August 24 through August 30, Strategy sold 4.53 million MSTR shares for USD 602.8 million, used USD 369.7 million to buy 4,603 BTC at USD 80,318 each, spent USD 151.8 million repurchasing 1.56 million STRC shares, paid USD 50.7 million of STRC dividends, and added USD 30.0 million to flexible cash. Using the company’s August 23 fully diluted share base, updated for the new issuance, and holding other claims constant, estimated net reserve value per share stays near USD 121 before and after the transaction. The transaction strengthened liquidity and reduced preferred claims, but it did not create a step-change in common-share value.

  3. Liquidity risk has fallen sharply, while the economic carry burden has become the central constraint. The August 30 USD Reserve of USD 5.10 billion plus USD Cash of USD 1.61 billion provides USD 6.71 billion of liquidity. Against the company’s August investor briefing estimate of approximately USD 1.70 billion of annual interest and preferred dividends, dedicated and flexible dollar assets cover almost four years of current obligations. That materially lowers near-term forced-Bitcoin-sale risk. Yet the same capital structure creates a company-defined BTC Hurdle annual return rate of about 10.7%; below that rate, senior financing costs consume the residual return available to common equity.

  4. The stock appears fairly to slightly overvalued after its late-August rebound. At the August 31 MSTR close of USD 132.94, Bitcoin at approximately USD 78,554, 845,050 BTC, USD 6.71 billion of dollar assets, USD 6.75 billion of debt, estimated preferred notional of roughly USD 14.81 billion, and approximately 424.4 million fully diluted shares, estimated net reserve value is about USD 121 per share. The resulting multiple is approximately 1.10 times. A 10% premium is defensible for capital-markets access, software, liquidity, and option value, but it leaves little margin for dilution, higher STRC coupons, or a Bitcoin return below the hurdle.

  5. The conclusion turns positive only if per-share accumulation resumes. A sustained increase in net BTC per fully diluted share, a reduction in the effective credit hurdle below 9%, or common issuance consistently executed above 1.20 times net reserve value would justify a larger franchise premium. Conversely, a fall in mNAV below 1.0 times while common issuance continues, or a rise in annual cash obligations above USD 2.0 billion without matching reserve growth, would indicate value leakage. The decisive variable is not gross BTC holdings; it is net BTC per fully diluted common share after all senior claims.


2. Company Overview, Business Mix, and Core Operating Metrics

Strategy Inc. is a Bitcoin treasury company with a legacy enterprise analytics software operation and a capital-markets platform built around common stock, convertible debt, and perpetual preferred securities. The company’s economic center has shifted decisively from software revenue to reserve management. Bitcoin supplies the asset base; MSTR common stock absorbs residual volatility; the STRF, STRC, STRK, STRD, and STRE preferred series provide differentiated credit-like exposure; and the software business contributes customers, engineering capability, and a modest independent cash-flow stream.

The Bitcoin segment acquires and holds Bitcoin, raises capital, manages liquidity, repurchases securities, and may monetize Bitcoin under board-approved programs. It produced no GAAP revenue in Q2 2026, but it drives almost all balance-sheet value and reported earnings volatility. Fair-value accounting means changes in Bitcoin price flow through operating income, making GAAP EPS a poor measure of operating performance. Net reserve value, financing costs, per-share Bitcoin metrics, and liquidity coverage are more informative.

The Software segment sells enterprise analytics through cloud subscriptions, product support, limited perpetual licenses, consulting, and education. Cloud migration is working at the revenue line: Q2 subscription services revenue increased 54.0% year over year to USD 62.9 million. However, support revenue fell 22.7% to USD 40.2 million as customers moved away from on-premises products, and cloud infrastructure expense rose. Software therefore provides useful optionality but cannot economically offset even a small change in the value of the Bitcoin reserve.

The most valuable asset is not software and not even gross Bitcoin alone. It is the combination of a very large reserve with access to multiple public capital pools. This allows Strategy to issue the security that is most attractive at a given point in the cycle. The weakness is that every senior instrument adds a claim ahead of MSTR and can convert a Bitcoin return into financing carry rather than common-equity value.

Core Operating Metrics and Changes

The immediate research trigger is the August 31 Form 8-K. It marks a return to Bitcoin accumulation after a period in which liquidity building and preferred repurchases had priority. The company financed the purchase with common stock rather than a new preferred issue, while simultaneously using common proceeds to support STRC. This is rational balance-sheet management, but it makes the per-share math more important than the headline BTC purchase.

The latest transaction can be reproduced as follows. At the August 31 Bitcoin reference price, the 4,603 BTC purchase adds roughly USD 361 million of market value. The company also reduces preferred notional by roughly USD 156 million and adds USD 30 million of flexible cash, while issuing about 4.53 million new shares. Starting from the August 23 company framework, estimated net reserve value rises from roughly USD 51.0 billion to about USD 51.5 billion, while estimated fully diluted shares rise from 419.9 million to 424.4 million. Net reserve value per share therefore remains around USD 121. This is balance-sheet stabilization, not a new per-share growth engine.

Growth and margins.
Software revenue quality is improving because subscription revenue is recurring and grew 54.0% in Q2. The offset is visible in support revenue, which fell as on-premises customers migrated. Combined product licenses and support declined by USD 15.3 million year over year in Q2, while subscription revenue rose USD 22.0 million. Gross margin fell about 220 basis points to 66.6%, reflecting the heavier cloud cost base. The software operation is viable, but its quarterly gross profit of USD 81.6 million is less than 0.2% of the current Bitcoin reserve value.

Cash flow and capital intensity. H1 operating cash flow improved to USD 9.9 million from negative USD 37.3 million, helped mainly by interest on dollar reserves and lower cash taxes. This is not enough to fund Bitcoin purchases or preferred distributions. Financing cash flow of USD 13.77 billion funded most of the USD 14.37 billion investing outflow. Strategy is therefore a capital-markets business: its ability to compound depends on issuing securities at terms that preserve or increase residual value per share.

Balance sheet and capital allocation. Liquidity quality has improved materially. The USD Reserve reduces the need to sell Bitcoin during stress, and repurchasing STRC below its USD 100 stated amount is economically sensible because it retires senior claims at a discount. The weakness is circularity: recent STRC repurchases and dividends were partly funded by issuing common shares. The action is acceptable when MSTR trades above net reserve value, but destructive if the stock trades at a discount.

Fundamental conclusion. Strategy has a strong franchise and a robust near-term liquidity position, but weak internally generated cash flow. The single most important variable is net BTC per fully diluted share after deducting debt and preferred claims. Gross BTC growth without per-share net reserve growth should not command a widening premium.


4. Industry and Competitive Landscape

The relevant industry is listed Bitcoin balance-sheet exposure, not conventional enterprise software. Investors can obtain Bitcoin sensitivity through spot exchange-traded products, miners, pure treasury companies, and operating companies with Bitcoin reserves. Strategy competes by offering amplified residual exposure and a capital-markets flywheel; it loses when investors prefer transparent, low-fee spot exposure or when its financing cost exceeds Bitcoin appreciation.

The winner is Strategy on reserve scale, security design, liquidity, and distribution. Twenty One is the closest pure-treasury challenger but has not yet demonstrated revenue generation or a financing platform comparable with Strategy. MARA has tangible mining and energy infrastructure, yet its H1 Bitcoin sales and collateralized borrowings create a different risk profile. Trump Media remains a smaller thematic holder.

The principal competitive threat is not another treasury company; it is the low-cost spot Bitcoin product. A spot vehicle offers transparent asset backing without software, corporate taxes, preferred dividends, ATM dilution, or management discretion. Strategy must therefore earn its premium through increasing net BTC per share and monetizing its capital-markets franchise. At the current estimated 1.10 times mNAV, it receives a modest premium consistent with category leadership. If net BTC per share remains flat, that premium should contract toward parity.

The business-to-valuation transmission is explicit: issuing USD 1.0 billion of Digital Credit at a 10.7% effective hurdle creates roughly USD 107 million of annual carry. If Bitcoin earns 20% annually, the first-order spread is about USD 93 million before fees, taxes, timing, and dilution. If Bitcoin earns 5%, the spread is negative by about USD 57 million. Applied across Strategy’s large preferred base, this return gap can dominate software earnings and determine whether MSTR compounds faster or slower than Bitcoin.


5. Key Risks

  1. Bitcoin price and return risk. If Bitcoin falls below Strategy’s approximate USD 75,412 average acquisition cost for a sustained period, reported equity falls and capital access may weaken. More importantly, if long-run Bitcoin appreciation remains below the approximately 10.7% credit hurdle, preferred dividends and interest consume the return before it reaches common shareholders, compressing mNAV.

  2. Common-share dilution risk. The latest week added 4.53 million shares, roughly 1.1% of the prior estimated fully diluted base. Issuance above net reserve value can be accretive, but issuance at or below parity transfers value from existing holders. Continued ATM sales while mNAV is below 1.0 times would directly reduce net reserve value per share.

  3. Preferred-stock carry and refinancing risk. Strategy’s preferred notional is approximately USD 14.8 billion, and STRC’s dividend rate was raised to 12%. If STRC remains below its USD 100 stated amount, the company may keep repurchasing it or maintain a high dividend rate. Either action consumes liquidity and can delay Bitcoin accumulation.

  4. Liquidity-policy and Bitcoin-monetization risk. The USD Reserve is management-designated, not legally restricted, and the board permits Bitcoin sales for reserve funding, security repurchases, dividends, and interest. If cash obligations rise or capital markets close, Bitcoin sales during a downturn could crystallize losses and weaken the long-term per-share thesis.

  5. Metric and valuation-definition risk. Net BPS and mNAV are company-defined supplemental metrics. Their treatment of in-the-money instruments, notional preferred values, fully diluted shares, taxes, transaction costs, and liquidation assumptions can change. A seemingly stable mNAV can therefore mask deterioration in actual economic claims.

  6. Software transition risk. Subscription growth may not fully offset declining support and license revenue, while cloud hosting costs pressure gross margin. If product support falls faster than subscription revenue grows after on-premises support ends in December 2026, software could become a cash consumer rather than a source of franchise value.

  7. Custody, regulation, and governance risk. A custody breach, loss of keys, adverse accounting or tax treatment, tighter securities rules, or governance decisions that prioritize preferred-market stability over common-share accretion could reduce reserve value or raise funding costs. Because executive control and brand identity are concentrated, strategy changes can have an outsized valuation effect.


6. Monitoring Checklist

  • Net BTC per fully diluted share: sustained quarterly growth above 2% would strengthen the thesis; flat or negative growth despite rising gross holdings would weaken it.

  • mNAV on a consistent definition: common issuance is constructive above roughly 1.20 times and questionable below 1.0 times. Recalculate after every major ATM update.

  • BTC Hurdle annual return rate: a decline below 9% would materially improve common-equity economics; a rise above 12% would increase the required Bitcoin return.

  • USD Duration and annual cash obligations: coverage above three years is supportive. Coverage below two years or obligations above USD 2.0 billion without reserve growth would raise forced-financing risk.

  • STRC price and dividend rate: sustained trading near USD 100 with a lower coupon would validate Digital Credit. Persistent discounts despite a 12% rate would signal weak demand and higher carry.

  • Software subscription and support bridge: subscription growth above 35% with total software growth above 5% and stable gross margin would preserve option value. A total revenue decline or gross margin below 64% would weaken it.

  • Peer capital behavior: monitor XXI service launches, MARA BTC sales and collateralized borrowing, and spot-product flows. Competitors do not need to match Strategy’s reserve to compress its premium; they need to offer cleaner exposure at lower cost.

  • Bitcoin price versus average cost: a price materially above USD 75,412 expands financing flexibility. A sustained decline below USD 60,000 would raise amplification, reduce mNAV support, and test the reserve framework.
